Abstract
In principle, no contract is concluded for the next transfer and the assignment of the contract in any case is an exceptional case that must be done in accordance with the prescribed conditions. Upstream oil and gas contracts are no exception and its possible assignment necessarily follows the general rules governing other contracts in order to transfer the contractual position of one of the parties to the contract to a third party who is considered a foreigner to the contract subject to the transfer. However, in the oil and gas industry, due to the strategic nature of these two commodities, the complexity of oil and gas contracts, the heavy financial consequences of these contracts, the generality of their ownership and the impact of expertise and ability of the other party to fully execute the contract The hosting countries consider several barriers and restrictions to the transfer of these contracts.
In this research, the obstacles and limitations of the assignment of upstream oil and gas contracts are examined in a comparative manner and it is determined that the conditions of assignment of this category of contracts will be different from the transfer of other international trade contracts and the transfer of oil and gas industry contracts with It faces many obstacles and limitations.
